01These Terms
These Terms of Service ("Terms") are an agreement between Procurable, Inc. ("Procurable", "we") and the organization that uses the Service ("Customer", "you"). By using the Service, you accept these Terms.
02The Service
The Service is Procurable's cloud software for manufacturing procurement: cost intelligence (should-cost benchmarks) and the RFQ platform, including AI-assisted drafting of RFQ, negotiation and analysis text. You use it for parts, pricing, drawings, supplier records, RFQs and quotes. Suppliers reply by email, and the Service parses their quotes.
03Procurable is not a party to your purchases
Procurable is not the contracting party between you and your suppliers for manufactured parts. We do not guarantee any supplier's pricing, quality or delivery.
04Eligibility
You must be 18 or older and have authority to bind your organization to these Terms.
05Accounts
You are responsible for your accounts, for keeping credentials secure, and for activity under your accounts.
06Your content
You own the content you upload, including drawings, part files, pricing and supplier data. You give Procurable a limited license to host and process that content only to provide the Service.
07AI-assisted drafting
The Service uses AI to draft RFQ, negotiation and analysis text. You are responsible for reviewing drafted text before you send it or rely on it.
08Acceptable use
You will use the Service only for lawful purposes and in line with these Terms. You will not try to disrupt the Service or access it in ways we have not authorized.
09Export control
You will comply with export control laws, including the Export Administration Regulations (EAR) and the International Traffic in Arms Regulations (ITAR). You will not upload controlled technical data without authorization. You will tell Procurable before uploading any ITAR-controlled content.
10Fees
Fees are disclosed to you before you use any paid part of the Service.
11Procurable's property
Procurable owns the Service, including its software and models. These Terms do not transfer any of Procurable's rights to you.
12Confidentiality
Each party will protect the other party's confidential information and use it only for purposes of these Terms.
13Data protection
Our Privacy Policy explains how we handle personal data as a controller. For EEA and UK personal data that you put in the Service, our Data Processing Addendum is incorporated into these Terms and governs our processing as your processor.
14Warranty disclaimer
The Service is provided "as is". To the extent the law allows, Procurable disclaims all warranties, express or implied.
15Limitation of liability
To the extent the law allows, Procurable's total liability under these Terms is limited to the greater of the fees you paid in the 12 months before the claim, or $100.
16Indemnity
You will indemnify Procurable against claims arising from your content or your use of the Service in breach of these Terms.
17Suspension and termination
We may suspend or terminate access to the Service if you breach these Terms. You may stop using the Service at any time.
18Governing law and disputes
California law governs these Terms. Disputes are resolved by binding arbitration administered by JAMS in Los Angeles, California.
19Changes
We may change these Terms. We will give notice before changes take effect.
